1. Introduction
TechNexus LLC (“TechNexus,” “we,” “us,” “our”) owns and operates https://www.technexus.io and its sub-domains (“Website”). We provide software development, marketing, and UX/UI design services (“Services”). By browsing or using the Website, you (“you,” “your,” “User”) agree to these Terms of Service (“Terms”) and to our Privacy Policy. If you do not accept these Terms, please leave the Website.
2. Who may use the Website
The site is open to the public. We do not knowingly target or restrict minors, but if local law bars you from forming a binding contract you must not use the site.
3. Getting work started
- You contact us via the Website or email.
- We scope the project and send a written offer or Statement of Work (“SOW”).
- The SOW (once accepted) becomes a separate contract that governs scope, timeline, and fees.
4. Fees, invoicing, and late payment
Invoices are agreed upon based on a personalised contract. Similarly, late balances are decided by contractual agreement. No payments are processed through the Website itself.
5. Intellectual property
All deliverables become your property once TechNexus receives full payment. Internal frameworks, templates, and reusable code remain our property; you receive a non-exclusive, perpetual licence to use them within the project.
6. Client responsibilities
You agree to provide timely feedback, approvals, and any assets we request. Missed checkpoints automatically extend project timelines.
7. Confidentiality and NDAs
Both parties must keep non-public information confidential. If a standalone NDA is signed its terms control; otherwise this clause survives indefinitely.
8. Acceptable use
You will not misuse the Website (e.g., introduce malware, scrape content, violate law, harass others, or infringe IP).
9. Analytics, cookies, and email marketing
The Website uses AWS hosting plus Google Analytics, Google Tag Manager, Meta Pixel, LinkedIn Insight Tag, HotJar Tracking Code, and similar tools. Details appear in the Privacy Policy. We may use your business-contact details for B2B email marketing in line with applicable law and opt-out rights.
10. Suspension or termination
We may suspend or terminate access—or an active project—if you breach these Terms, fail to pay, or engage in abusive conduct.
11. Disclaimers
The Website is provided “as is.” We make no warranties that it will be error-free or uninterrupted.
12. Limitation of liability
Our aggregate liability for any claim is capped at the fees you actually paid us for the specific project giving rise to the claim.
13. Governing law and venue
These Terms are governed by the laws of the Republic of Kosovo. Kosovo courts in Pristina have exclusive jurisdiction.
14. Updates to these Terms
We may update these Terms at any time. The new “last updated” date appears at the top of the page. Continued use of the Website equals acceptance of the changes.
